ANGUSalive Board Meetings

The Board of Directors meet, on average, every eight weeks throughout the year with the Chief Executive and Senior Management to consider the business of the charity.

We manage the services, assets and employees in accordance with good charities governance, good business practice, legislative requirements and in accordance with the Articles of Association to ensure strong governance, public accountability and public benefit.

Director Recruitment, Induction and Training of Directors

New Directors are recruited and appointed according to vacancies on the Board. Induction information is provided to all new Directors and on-going training and development is available to all existing Directors as required. We also run board development days to take forward key strategic decisions and provide personal development and organisational training and governance and strategic areas. In addition to regular board meetings, members also attend regular finance and trading and subsidiary and investment sub committees.

Decision Making Process

At a Directors' meeting, unless a quorum is participating, no proposal is to be voted on. The decision-making process by Trustees is that any decision must be either a majority decision at a meeting or a decision of the Directors is taken in accordance when all eligible Directors indicate to each other by any means that they share a common view on a matter. If the numbers of votes for and against a proposal are equal, the Chairperson or other Director chairing the meeting has a casting vote.
